DIH MEITS Terms of Service

Welcome to DIH MEITS. These Terms of Service outline the rules and regulations for using our services. By accessing or using our services, you agree to comply with these terms.

1. Introduction

Welcome to DIH MEITS (Pty) Ltd. These Terms of Service (“Terms”) govern your use of our services, including Microsoft Copilot, Microsoft 365, Microsoft Azure, Dynamics 365, Microsoft Security, Cybersecurity Consulting, Data Backup Services, Managed Services (such as Migrations and 24/7 Support), and other related services. By using our services, you agree to these Terms.

2. Delivery and Transfer of Risks

All risks in the products and/or services shall pass to the customer on the date of delivery or upon achieving the contract’s milestone billing. Customers must inspect and test the products upon delivery and confirm acceptance by signing the applicable DIH MEITS invoice or delivery note. Signing these documents constitutes irrevocable consent that the products were received in good order.

3. Terms & Conditions Related to OEM

Additional terms and conditions from Original Equipment Manufacturers (OEM) may apply to related products and/or services. These will be provided upon request.

4. Warranty and Limitations of Liability

Our warranty period is as stipulated by the Original Equipment Manufacturer and is calculated from the date of delivery or the applicable DIH MEITS contract. Any replaced products or components under this agreement become the property of DIH MEITS. We exclude all conditions, warranties, or other terms implied by statute or common law to the fullest extent permitted by law.

5. Force Majeure

DIH MEITS is not responsible for non-compliance with any obligation under the contract if prevented or delayed by any cause beyond our reasonable control (“Force Majeure”). We will notify the customer of such events and the estimated extent. Performance time will be extended for the duration of the event. If a Force Majeure event prevents performance for more than three months, either party may terminate the contract upon written notice.

6. Suspension and Termination

In case of customer default, including non-payment of any invoice, DIH MEITS may suspend performance until the default is cured. Payment is due within thirty days from the invoice date unless special arrangements have been made.

7. Electronic Communications and Transactions

Under the Electronic Communications and Transactions Act, information will not be without legal force and effect merely because it is in the form of a ‘data message’ (e.g., email).

8. Protection of Personal Information

DIH MEITS and the customer agree to comply with the Protection of Personal Information Act (POPIA) and other applicable data protection regulations.

9. Legislative Compliance

Electronic tax invoices issued by DIH MEITS are regulated by applicable RSA tax legislation and SARS guidelines. The original tax invoice will be generated by the system, and any electronic invoice will be treated as a copy.

10. Financial Intelligence Centre Act (FICA)

The customer acknowledges DIH MEITS’s obligations under FICA and indemnifies DIH MEITS against any claims arising from actions taken to discharge these obligations. This includes declaring that the proceeds from the sale of goods or services are not from unlawful activities, linked to terrorist financing, used for money laundering, or assisting related offenses. Any cash transaction exceeding R50,000 will be reported to the Financial Intelligence Centre.

11. Microsoft Managed Services

DIH MEITS provides managed services for Microsoft products, including Microsoft 365, Azure, and Dynamics 365. These services include migrations, 24/7 support, and ongoing management. Customers must comply with Microsoft’s terms of service and licensing agreements. DIH MEITS is not liable for any issues arising from non-compliance with these terms. Our managed services are governed by the specific agreements we have with our customers, and we strive to provide the highest level of service as agreed upon.

12. Cybersecurity Consulting Services

Our cybersecurity consulting services aim to enhance your organization’s security posture. While we strive to provide the best possible advice and solutions, DIH MEITS is not liable for any security breaches or incidents that occur despite our recommendations. Customers are responsible for implementing and maintaining security measures. These services are governed by the agreements we have with our customers, and we are committed to delivering the best service possible.

13. Data Backup Services

DIH MEITS offers data backup services to ensure the safety and integrity of your data. While we take all necessary precautions to protect your data, we are not liable for any data loss or corruption. Customers are responsible for ensuring that their data is backed up regularly and securely. Our data backup services are governed by the agreements we have with our customers, and we strive to provide the best service possible.

14. Managed Service Provider (MSP) and Managed Security Service Provider (MSSP) Roles

As a Managed Service Provider (MSP), DIH MEITS offers a wide range of IT services to manage, monitor, and maintain your IT infrastructure. These services include network monitoring, help desk support, data backup and disaster recovery, cloud management, and software and hardware management

As a Managed Security Service Provider (MSSP), DIH MEITS specializes in cybersecurity services. We provide advanced security solutions such as threat detection and response, vulnerability management, firewall and intrusion detection systems, and compliance consulting

Our focus is to protect your digital assets from cyber threats and ensure your network is secure and compliant.
